Institutional Terms

Standard Service Agreement: v3.1

Effective Date: October 24, 2024

This agreement defines the partnership between your institution and EduVision. We are committed to transparency, security, and the success of your students.

1. Acceptance & Institutional Authority

By accessing or using the EduVision platform, you agree to be bound by these Terms. If you are using the service on behalf of an institution (School), you represent and warrant that you have the full legal authority to bind that institution. You also certify that the institution has the lawful right to process and provide student and guardian data to us.

2. Scope of SaaS Services

EduVision provides a cloud-based School Management System (SMS) as a service. We reserve the right to modify or enhance platform features to improve institutional efficiency. Major system updates that significantly alter core workflows will be communicated via the Admin dashboard at least 7 days in advance.

3. Account Security & Personnel Access

Institutions are responsible for maintaining the security of all user accounts provisioned under their license. Each staff member must have their own unique credentials. Sharing of passwords between teachers, bursars, or directors is strictly prohibited to maintain the integrity of the audit trail.

4. Subscription Tiers & Payment Terms

Access is granted based on active subscription tiers (Starter, Standard, Premium). Fees are billed termly or annually. Failure to settle outstanding balances within 14 days of the due date may result in a 'Read-Only' lock on the system. Re-activation occurs immediately upon payment verification.

5. Data Ownership & IP Rights

The Institution retains 100% ownership of its student records, financial logs, and academic data. EduVision owns the software, algorithms, branding, and the 'EduVision Brain' AI core. You grant us a non-exclusive license to host and process your data strictly for the purpose of providing the service.

6. Prohibited Activities

Users may not: (a) Attempt to bypass security controls; (b) Use the platform to send unauthorized spam; (c) Scrape or bulk-export data without using authorized export tools; (d) Decompile or reverse-engineer the platform code.

7. Service Availability (SLA)

We target a 99.9% uptime for production environments. Scheduled maintenance typically occurs between 1:00 AM and 4:00 AM (EAT) to minimize disruption. We are not liable for outages caused by regional internet infrastructure failure or ISP issues outside our control.

8. Support & Escalation

Technical support is available via the in-app AI assistant (24/7), Email (support@eduvision.africa), and WhatsApp (Mon-Fri, 8:00 AM - 5:00 PM EAT). Critical issues affecting fee collection or report card processing are prioritized for 4-hour response times.

9. Data Protection & GDPR/Regional Compliance

Our handling of data is also governed by our Privacy Policy. The School, as the Data Controller, is responsible for fulfilling data access requests from parents or students. EduVision will provide the technical tools necessary for the school to fulfill these obligations. For data-related inquiries, contact privacy@eduvision.africa

10. Limitation of Liability

To the maximum extent permitted by law, EduVision Institutional Systems shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profit) arising from system use. Our total liability is limited to the fees paid for the current subscription term.

11. Indemnification

The Institution agrees to indemnify and hold EduVision harmless from any claims, damages, or legal fees resulting from the institution's failure to obtain proper consent for data processing or breaches of local educational regulations.

12. Termination & Data Exit Strategy

You may terminate your subscription with 30 days' notice. Upon termination, we provide a 30-day window for you to download all academic and financial archives in standard formats (CSV/PDF). After this period, data is permanently purged from our active servers.

13. Governing Law

These terms are governed by the laws of the Republic of Uganda. Any disputes that cannot be resolved through mutual mediation shall be subject to the exclusive jurisdiction of the courts in Kampala, Uganda.
